Embedded general counsel for healthcare & AI

Legal judgment for consequential moments.

Richard Andrews Advisory serves founders and leadership teams building AI-enabled health technology—combining elite corporate and M&A training with the judgment, commercial instinct, and practical ownership of an embedded general counsel.

The legal function should move the business forward.

Early-stage companies need more than answers to isolated questions. They need someone who understands the business, builds the systems behind sound decisions, earns trust across the table, and stays close enough to see what is coming next.

01

Embedded general counsel

Senior, business-first legal leadership integrated into your team—setting priorities, owning decisions, and giving founders and executives a trusted partner as the company grows.

02

Legal infrastructure

Building the practical legal foundation an early-stage company needs: scalable contracting, governance, risk and compliance frameworks, decision pathways, and thoughtful use of outside counsel.

03

Healthcare commercial

Sophisticated agreements and practical counsel across the healthcare ecosystem, grounded in the regulatory, operational, and relationship dynamics that make these transactions distinct.

Elite corporate training.
Built from the inside.

Richard’s foundation was built at Latham & Watkins, where he supported more than $10 billion in public M&A, private equity, and capital markets transactions, and at Wilson Sonsini, advising venture-backed companies and investors on financings, governance, strategic transactions, and cross-border matters.

He then spent five years at Transcarent, joining as employee #23 and ultimately serving as Vice President & Associate General Counsel through a period of extraordinary growth. Richard helped build the company’s legal infrastructure as it scaled—advising leaders across governance, risk, regulatory, commercial, and operational matters and structuring sophisticated relationships with major health plans, Fortune 100 employers, health systems, providers, and digital health, technology, and data partners. He also led or supported many of Transcarent’s most significant strategic transactions, including its approximately $621 million take-private acquisition of Accolade, the acquisition of 98point6’s AI-powered virtual care platform, and substantial debt and equity financings. That experience gave him a rare, ground-level understanding of what it takes to build healthcare technology responsibly from the inside.

After serving as Senior Legal Director for Global Corporate & M&A at Atoms, Richard founded RAA. Today, he serves as an embedded legal partner to a growing portfolio of healthcare and AI companies—helping leadership teams build legal infrastructure, negotiate complex commercial relationships, navigate regulatory and governance questions, and execute consequential transactions.

Richard is also the founder of Human Counsel, an independent platform exploring a more proactive, accessible, and deeply human model for legal guidance in the AI age.
